1. Agreement to Terms

By accessing or using any services, website, software, or products provided by Noam Inc. ("NoamAI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use our services.

These Terms apply to all visitors, users, customers, and others who access or use our services. Our services include, but are not limited to, our website at noamai.com, our AI-augmented air traffic control software, our DIODE defense advisory system, and any related APIs or integrations.

2. Description of Services

NoamAI provides AI-augmented aviation safety and operational software designed to assist—not replace—licensed air traffic controllers, flight crews, and aviation professionals. Our services are intended as decision-support tools only. All final operational decisions remain the sole responsibility of qualified, licensed human operators.

Our services are not certified as primary safety-critical systems under FAA, EASA, or any other aviation regulatory authority unless explicitly stated in a separate written agreement.

3. Eligibility and Access

Access to our services is limited to organizations and individuals who have entered into a valid written agreement with NoamAI. Unauthorized access is strictly prohibited. You represent that you have the authority to bind your organization to these Terms and that your use of our services complies with all applicable laws and regulations, including aviation safety regulations.

4. Intellectual Property

All content, software, technology, algorithms, models, and materials provided by NoamAI are and remain the exclusive property of Noam Inc. and its licensors. Our technology is protected by patents pending, copyrights, trade secrets, and other intellectual property laws.

You may not copy, modify, distribute, sell, reverse engineer, decompile, or create derivative works from any NoamAI technology or materials without our express prior written consent.

5. Prohibited Uses

You agree not to use our services to:

• Violate any applicable law, regulation, or aviation safety standard
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or data
• Use our services as a sole or primary safety-critical decision-making system without qualified human oversight
• Sublicense, resell, or otherwise transfer access to our services without written authorization
• Use our services for any purpose that poses a risk to aviation safety or national security

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

NOAMAI MAKES NO WARRANTY THAT ITS SERVICES WILL DETECT ALL CONFLICTS, RISKS, OR SAFETY HAZARDS. QUALIFIED HUMAN OPERATORS MUST EXERCISE INDEPENDENT PROFESSIONAL JUDGMENT AT ALL TIMES.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOAMAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, EVEN IF NOAMAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NOAMAI'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO NOAMAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless NoamAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.

9. Confidentiality

You acknowledge that our services, documentation, and any non-public information disclosed to you constitute confidential and proprietary information of NoamAI. You agree to maintain the confidentiality of such information and not to disclose it to any third party without our prior written consent.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, seated in San Francisco, California.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Continued use of our services after changes constitutes acceptance of the revised Terms.
